Welcome to Viviz Technologies. These Terms and Conditions ("Terms") govern your access to and use of our website and AI implementation services. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

• "Services" refers to all AI implementation, consulting, development, and related services provided by Viviz Technologies
• "Client" refers to any individual or entity engaging our Services
• "Deliverables" refers to AI models, software, documentation, and other outputs provided as part of our Services
• "Agreement" refers to any contract or statement of work between us and the Client

2. Services

2.1 Scope of Services

We provide AI implementation services including, but not limited to:

• AI strategy consulting and planning
• Custom AI model development and training
• Machine learning integration and deployment
• AI system optimization and maintenance
• Technical support and training

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We will provide reasonable notice of material changes to ongoing service agreements.

3. Client Obligations

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Ensure they have appropriate rights to any data provided for AI model training
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any credentials or access provided
• Use the Services only for lawful purposes
• Not reverse engineer, decompile, or attempt to extract source code from our proprietary systems

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content on this website, including but not limited to text, graphics, logos, software, methodologies, and frameworks, is the property of Viviz Technologies and is protected by copyright, trademark, and other intellectual property laws.

4.2 Client Data and Custom Solutions

Unless otherwise specified in a written Agreement:

• Clients retain ownership of their proprietary data and pre-existing intellectual property
• Custom AI models developed specifically for a Client become the Client's property upon full payment
• We retain ownership of our pre-existing tools, frameworks, and methodologies
• We may retain anonymized, aggregated data for improving our Services

4.3 Licensed Use

We grant Clients a non-exclusive, non-transferable license to use our Deliverables strictly for their internal business purposes, subject to the terms of any specific Agreement.

5. Payment Terms

• All fees are outlined in specific service Agreements or proposals
• Payment terms will be specified in individual Agreements
• Late payments may incur interest charges and suspension of services
• All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary information disclosed during the engagement
• Use confidential information solely for the purpose of fulfilling the Agreement
• Implement reasonable security measures to protect confidential information
• Return or destroy confidential information upon request or termination of services

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• We have the right to provide the Services
• We will comply with applicable laws and regulations

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI systems are complex and may produce unpredictable results. We do not warrant that AI models will be error-free or achieve specific performance metrics unless explicitly guaranteed in writing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM CLIENT'S MISUSE OF DELIVERABLES OR FAILURE TO FOLLOW RECOMMENDATIONS

9. Indemnification

Clients agree to indemnify and hold us harmless from any claims arising from:

• Client's use of the Services in violation of these Terms
• Client's violation of any third-party rights
• Inaccurate or incomplete information provided by Client

10. AI-Specific Terms

10.1 Model Performance

AI model performance depends on data quality, quantity, and relevance. Clients acknowledge that:

• Model accuracy may vary based on real-world conditions
• Ongoing monitoring and retraining may be necessary
• We provide reasonable efforts to optimize performance but cannot guarantee specific outcomes

10.2 Ethical AI Use

Clients agree not to use our Services for:

• Unlawful purposes or activities that violate others' rights
• Creating discriminatory or biased systems
• Developing harmful or malicious applications
• Any purpose that conflicts with ethical AI principles

11. Termination

Either party may terminate an Agreement:

• For convenience with 30 days' written notice
• Immediately for material breach that remains uncured for 15 days after notice
• Immediately if the other party becomes insolvent or enters bankruptcy

Upon termination, Client shall pay for all services rendered through the termination date.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of N0 2/13-3 Sathyam Complex Sri Sathyam Nagar Thalakkudi Trichy - 621216. Any disputes shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations fail
• Arbitration or litigation in N0 2/13-3 Sathyam Complex Sri Sathyam Nagar Thalakkudi Trichy - 621216 if mediation is unsuccessful

13. General Provisions

• Entire Agreement: These Terms, together with any written Agreement, constitute the entire agreement between parties
• Amendment: We may update these Terms at any time. Continued use constitutes acceptance
• Waiver: Failure to enforce any provision does not constitute a waiver
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Assignment: Clients may not assign their rights without our written consent
